TERMS AND CONDITIONS FOR THE SUPPLY OF IT SOLUTIONS BY DIGIVAZE
1. INTRODUCTION
These simplified Terms apply to all IT solutions (“Services”) provided by Digivaze (“we”, “us”, “Company”) to you (“Client”, “you”). This includes web development, cloud services, digital marketing, and all other IT solutions. By signing our Quote/Order Form, you agree to these Terms and the Order, forming a binding Contract.
2. DEFINITIONS
- Business Day: Monday–Friday (not UK public holidays)
- Order: Your signed Quote confirming Services
- Services: Web development, cloud hosting/migration, SEO, PPC, social media, software, IT support, etc. as listed in Order
- White Label: Services you rebrand and resell to your clients
3. CONTRACT FORMATION
- Your signed Order is an offer.
- Contract starts when we confirm in writing or begin work.
- Quotes valid 14 Business Days.
- These Terms override any others you try to apply.
4. OUR OBLIGATION
- We’ll deliver Services with reasonable skill and care.
- Timelines are estimates (not guaranteed).
- We can subcontract but remain responsible.
- We may change Services to comply with laws or platform updates.
5. YOUR OBLIGATIONS
You must:
- Provide accurate info, access (e.g. servers, FTP/CMS logins, cloud accounts), and approvals promptly (within agreed deadlines or 15 Business Days).
- Notify us immediately of domain, hosting, or system changes.
- Add regular fresh content (key for SEO/web performance).
- Ensure all materials you supply are legal and don’t infringe rights.
- Indemnify us against claims from your content or White Label end-clients.
If you delay, we can invoice for work done + remaining Services.
6. PRICES & PAYMEN
- Prices in GBP, exclude VAT.
- Monthly billing at start of month (or per project phase).
- Payment due:
- Standard: 30 days
- Media spend / cloud usage (Google, AWS, etc.): 7 days
- Set fees cover up to 25 hours/month per service. Excess work = extra charges.
- Late payment: 2% above Barclays base rate + £10 admin per reminder.
- We can suspend/terminate for non-payment.
7. THIRD-PARTY SERVICES
- Google, AWS, Azure, hosting providers, etc. = governed by their terms.
- We’re not liable for their downtime, pricing changes, or performance.
8. PERFORMANCE REALITY CHECK
- No guarantees on rankings, uptime, traffic, speed, clicks, or sales.
- Search engines, cloud platforms, and algorithms change — beyond our control.
- We’re not liable if you ignore our recommendations.
9. INTELLECTUAL PROPERTY
- We own all IP created (code, designs, strategies, configs, reports) unless stated otherwise.
- You get a non-exclusive licence to use during Contract.
- You warrant your materials don’t infringe rights.
- We can use your logo/name as a reference (website, case studies) during + 18 months post-Contract.
10. CONFIDENTIALITY & DATA
- Both parties keep info confidential (5 years post-Contract).
- We comply with UK GDPR.
- No data collection from under-18s. We delete if discovered.
11. LIABILITY (IN PLAIN ENGLISH)
- We are not liable for:
- Indirect/consequential losses
- Lost profits, data, reputation
- Fraudulent clicks
- Third-party failures (hacking, DDoS, cloud outages)
- Max liability: Total amount you paid us for the affected Services.
12. TERM & TERMINATION
- Minimum term: As stated in Order (e.g. 6/12 months).
- Auto-renews yearly unless 30 days’ written notice before renewal.
- Instant termination if:
- You don’t pay
- Material breach (unfixed in 30 days)
- Insolvency
- On termination: Return materials, remove our code/configs. We can bill for unfinished work.
13. GENERAL
- Force Majeure: No liability for events beyond control (war, flood, cyberattack, etc.).
- No poaching: You can’t hire our staff for 12 months post-Contract.
- Assignment: You can’t transfer Contract; we can.
- Notices: In writing to hello@digivaze.co.uk or our registered address.
14. GOVERNING LAW
English law. English courts (non-exclusive).
